Accounting & Auditing Matters
The unethical systematic recording and analysis of the business and financial transactions associated with generally accepted accounting practices. (Examples include: misstatement of revenues, misstatement of expenses, misstatement of assets, misapplications of GAAP principles, wrongful transactions)
Bribery
The act of influencing the official or political action of another by corrupt inducements which may include offering, giving or receiving items that could be reasonably interpreted as an effort to improperly influence a business relationship or decision.
Confidentiality
Unauthorized, inappropriate, or unlawful use or disclosure of or failure to safeguard confidential information pertaining to the Company, its business, its officers or principals, employees, investors, clients, and other partners/related parties. Please refer to the Company's "Confidentiality Agreement" for additional information.
Conflict of Interest
Any transaction or relationship which presents, or may present, a conflict between an employee’s obligations to the Company and his or her personal, non-Company business, or other interests.
Discrimination or Harassment
Discrimination against or uninvited and unwelcome verbal or physical conduct directed at an employee or an applicant because of his or her race, color, religion, sex (including pregnancy), gender identity, sexual orientation, national origin, age, marital status, disability, genetic information, or military or veteran status or family responsibility. (Examples include: bias in hiring, bias in assignments, wrongful termination, bias in promotions, bias in educational decisions, unfair compensation, inappropriate language)
Embezzlement
To appropriate (as property entrusted to one's care) fraudulently to one's own use. (Examples include: bookkeeping errors, misapplication of funds, and mishandling of cash)
Falsification of Contracts, Reports or Records
Falsification of records consists of altering, fabricating, falsifying, or forging all or any part of a document, contract or record for the purpose of gaining an advantage or misrepresenting the value of the document, contract or record.
Misconduct or Inappropriate Behavior
Deliberate illegal or dishonest behavior.
Retaliation Against Whistleblower
Retaliation against an individual for reporting a suspected or actual violation of Company policy or procedure, or illegal or unlawful behavior or activities.
Sabotage or Vandalism
Destruction of an employer's property. (Examples include: equipment destruction, stealing, work slowdown, computer virus).
Substance Abuse
Substance abuse is defined as the misuse of both legal and illegal drugs including alcohol. (Examples include: cocaine, narcotics, marijuana, stimulants)
Technology
Unauthorized, unnecessary, inappropriate, or unlawful usage of the Company's technology which may include computers, software, systems, electronic communications, or Internet.
Theft
The act of stealing; specifically: the felonious taking and removing of personal property with intent to deprive the rightful owner of it.
Violation of Policy
Willful or innocent actions that are in direct violation of company policy, procedures, code of conduct, and/or implied contractual responsibilities. (Examples include: non-disclosure agreements, hiring standards, safety, Internet usage, corporate guidelines)
Workplace Violence
Any act or threat of physical violence, harassment, intimidation, or other threatening disruptive behavior towards a person or their property. May occur at or outside the workplace. (Examples include: threats, verbal abuse, physical assaults)
