Abuse of or fraud with Company benefits Improper, misleading or deceptive actions taken, falsification of records, or misrepresentation of physical conditions related to The Company’s benefits plans including health and supplemental income plans, tuition reimbursement or paid time off programs.
Accounting, Auditing and Internal Financial Controls Concerns regarding questionable practices relating to accounting, auditing or internal financial controls. (Examples include, but are not limited to: misstatement of revenues or documents relating to revenue, misstatement of expenses, misstatement of assets, or misapplication of Generally Accepted Accounting Principles)
Conflict of Interest A conflict of interest is defined as a situation in which a person—such as a board member, an employee, or a contractor—has a private or personal interest sufficient to appear to influence the objective exercise of his or her official duties. (Examples include: inappropriate vendor relations, bribery, misuse of confidential information, inappropriate customer relations.) Using corporate property, information or position for personal gain; appropriating or diverting any business opportunity or idea in which the Corporation might have an interest; competing with the Corporation in any way. The giving, receiving or solicitation of items which could be reasonably interpreted as an effort to influence a business relationship or decision; items given, received or solicited for the benefit of an individual or an individuals family or friends; items given, received or solicited during or in connection with contract negotiations; the acceptance of cash, checks, money orders, vouchers, gift certificates, loans, unusual discounts, stocks or stock options. Supplier or contractor activity in violation of Company policies and procedures including vendor or contractor selection by an employee for personal gain over the better interest of the Company; diversion of business to employee’s or board member’s relatives, friends or for other personal reasons and any other generally unethical negotiation or business award practices.
Discrimination or Harassment Uninvited and unwelcome verbal or physical conduct directed at an employee because of his or her gender, sexual orientation, religion, ethnicity, age, disability or beliefs.(Examples include: bias in hiring, bias in assignments, wrongful termination, bias in promotions, bias in educational decisions, unfair compensation, inappropriate language)
Employee Misconduct (Harassment, Substance Abuse, etc.) Involves any employee conduct that is in violation of the Company’s employment policies, or adversely impacts upon the corporate image. Falsification of records consists of altering, destroying, fabricating, falsifying, or forging all or any part of a document, contract or record for the purpose of gaining an advantage, or misrepresenting the value of the document, contract or record. Confidential documents released to an outside agency without approval. Copying, distributing, use and/or display of a copyrighted work without prior permission of copyright owner.
Fraud Fraud can be defined as the intentional misrepresentation or concealment of information in order to deceive, mislead, or acquire something of value. A fraud is an intentional deception perpetrated to secure an unfair gain. (Examples include: embezzlement, violation of policy, theft, sabotage.) To appropriate (as property entrusted to one’s care) fraudulently to one’s own use. (Examples include: bookkeeping errors, misapplication of funds, and mishandling of cash.)
Intellectual Property and Confidential Information The Company safeguards proprietary information and trade secrets. The Company seeks patent, trademark, copyright, and trade secret protection to prevent inappropriate disclosures and/or loss of information. We perform clearance searches prior to use or adoption of trademarks and designs for new delivery devices, etc. Confidential information includes personal information (salaries, benefits, HR file info.) about employees or members. We do not accept confidential industry information from third parties, including competitors without proper authorization. Confidential disclosure agreements are required as well.
Retaliation Verbal, physical or written discriminatory or harassing behavior toward an individual who has made a good faith report regarding a compliance issue. Whistleblowers are legally protected from retaliation for good faith allegations of illegal activity or questionable accounting practices.
Safety & Violence Failure of meeting requirements needed to perform all duties in a secure environment. Potential areas of harm. (Examples include: environmental damage, OSHA, EPA, supervisor directive.) Violence is an expression of the intention to inflict evil, injury, or damage to a person or their property. (Examples include: direct, veiled, conditional, violent)
Substance Abuse Substance abuse is defined as the misuse of legal and illegal drugs, including alcohol. (Examples include: cocaine, narcotics, marijuana, stimulants)
Theft The act of stealing; specifically: the taking and removing of personal property with intent to deprive the rightful owner of it; an unlawful taking (as by embezzlement or burglary) of property.
Use of Company Property or Resources Refers to the use/misuse of Company time, materials, assets or facilities (including e-mail and voice mail) for purposes not directly related to Company business, or the removal, borrowing or destruction of Company property without permission.
