Accounting and Auditing Matters The systematic recording and analysis of business and financial transactions which are not in accordance with generally accepted accounting principles and / or sound business practices. (Examples include: misstatement of revenues, expenses, assets, liabilities and any element of shareholders' equity as well as side letters, wrongful or sham transactions, false or improper documentation, unauthorized purchase requests.)
Bribery Payments or offering to make payments or provide anything of value to a Third Party intended to influence or induce an act or decision specifically for securing business or improper advantage in a business transaction. Payments or offering to make payments to Third Parties which are officials of foreign governments are a violation of the US Foreign Corrupt Practices Act of 1977 and have serious consequences to the individuals and the companies perpetrating such behavior.  (Examples:  Corrupt payments made directly foreign officials; corrupt payments made by or through intermediaries such as distributors or resellers; offers or promises to make corrupt payments or provide anything of value.)
Channel Misconduct Willful or innocent wrongdoings involving our Channel Partners. (Examples include: Discounts to partners which are not passed on to end users; improper use of marketing development funds, partner rebates and other authorized incentive programs; improper sell out reporting resulting in channel stuffing. )
Conflict of Interest A situation in which a person, such as a public official, an employee, or a vendor to the company, has a private or personal interest sufficient to appear to influence the objective exercise of his or her official duties. (Examples include: inappropriate vendor relations, misuse of confidential information or inappropriate customer relations.)
Disclosure of Confidential Information / Data Privacy Willful or innocent misuse or disclosure of information regarding McAfee or your company's business strategy, future plans, suppliers, customers, fellow employees or other information considered proprietary and/or confidential.
Embezzlement / Theft The act of stealing; specifically: the taking and removing of personal or company property with the intent to deprive the rightful owner of it.
Falsification of Contracts, Reports or Records (Side Letters) Altering, fabricating, falsifying, or forging all or any part of a document, contract or record for the purpose of gaining an advantage, or misrepresenting the value of a document, contract or record. Examples ... For Partners: A Side Letter is any document, email, verbal communication or other commitment that contains agreements with or provides promises to a distributor, reseller, end user or customer different from or in addition to those contained in the contract, end user license, invoice or purchase order presented to McAfee Order Operations when the transaction is presented for booking. For Vendors: Aiding or assisting in the creation of an "After the Fact Purchase Order" constitutes a violation of McAfee Procurement Policy.
Gross Misconduct Intentional wrongdoing; specifically: deliberate violation of a law or standard
Unauthorized Use of Intellectual Property Misuse or violation of the intellectual property rights assignment agreement in regard to any and all new or useful art, discovery, improvement, technical development, or invention whether or not patentable, and all related know-how, trademarks, techniques, trade secrets, software or other copyrightable or patentable works.
Violation of Policy Willful or innocent actions that are in direct violation of Mcafee policy, procedures, code of conduct, and/or implied contractual responsibilities of your policies relating to dealings with your company
