The Company believes this can best be done if its dealings with all persons are honest, fair and ethical. This means that, even if it could obtain higher profits in some other way, the Company will act in accordance with its principles. Each employee should endeavor to deal fairly with the Company's customers, suppliers, competitors. No unfair advantage should be taken of anyone through manipulation, concealment, abuse of privileged information, misrepresentation of material facts or other unfair-dealing practice.

It is also the Company's policy to comply with all laws and regulations applicable to it, and to the conduct of its business. If any employee has a question about the legality of a Company activity, that question should be referred to the employee's supervisor, who in turn should refer the question to either the Corporate Secretary or the General Counsel of MGM. Of course, no illegal payments shall be made to any governmental authority by the Company, any of its employees, or any other person acting on its behalf.
