Accounting and Auditing Matters
The unethical systematic recording and analysis of the business and financial transactions associated with generally accepted accounting practices. (Examples include: misstatement of revenues, misstatement of expenses, misstatement of assets, misapplications of GAAP principles, wrongful transactions.)
Accurate Books & Records
The falsification or improper modification of information in the Company's books and records, or the improper omission of information from the Company's books and records. (Examples include: misstatement of revenues, misstatement of expenses, misstatement of assets, misapplications of GAAP principles, wrongful transactions)
Confidentiality and Misappropriation
Confidentiality refers to the protection of the Company's and our customer's non-public information and use of such information only for legitimate business purposes. Misappropriation refers to the unauthorized or improper use of a third party's intellectual property rights, including patents, trademarks, copyrights and trade secrets.
Conflict of Interest
A conflict of interest is defined as a situation in which a person, such as a public official, an employee, or a professional, has a private or personal interest sufficient to appear to influence the objective exercise of his or her official duties. (Examples include: inappropriate vendor relations, bribery, misuse of confidential information, inappropriate customer relations)
Discrimination or Harassment
Uninvited and unwelcome verbal or physical conduct directed at an employee because of his or her sex, religion, ethnicity, or beliefs. (Examples include: bias in hiring, bias in assignments, wrongful termination, bias in promotions, bias in educational decisions, unfair compensation, inappropriate language).
Environmental Protection, Health or Safety Law
Violation of any environmental law, regulation, corporate policy or procedure with respect to the handling and disposal of hazardous materials or the health and safety of other individuals.
Fraud
The intentional misrepresentation or concealment of information in order to deceive, mislead, or acquire something of value. A fraud is an intentional deception perpetrated to secure an unfair gain. In connection with a government contract or subcontract, a knowing failure to meet important contract requirements may constitute fraud.
Government Contracts
Failure to comply with applicable government, state, province or local laws and regulations or contractual obligations relating to government business or government agencies, including any work that does not comply with bidding rules, contract terms, or applicable regulations and any improper dealings with a government employee or a former employee.

Improper Gifts and Gratuities
Federal law places strict limits on the gifts and gratuities that government officials may accept from their contractors. Gifts and gratuities in excess of these limits are a violation by the government official who accepts them, but the government contract and contractor employee who provides such gift or gratuity may also face liability.
Improper Giving or Receiving of Gifts
The giving, receiving or solicitation of items which could be reasonably interpreted as an effort to influence a business relationship or decision; items given, received or solicited for the benefit of an individual or an individual's family or friends; items given, received or solicited during or in connection with contract negotiations; the acceptance of cash, checks, money orders, vouchers, gift certificates, loans, products, or services.
Misconduct or Inappropriate Behavior
Intentional wrongdoing; specifically: deliberate violation of a law or standard.
Retaliation
Verbal, physical or written discriminatory or harassing behavior toward an individual who has made a good faith report regarding a compliance issue.
Theft (Larceny, Burglary, Robbery)
The act of stealing; specifically: the felonious taking and removing of personal property with intent to deprive the rightful owner of it; an unlawful taking (as by embezzlement or burglary) of property.
