Parex Resources Inc. (the “Company”) requires the highest standards of professional and ethical conduct from its directors, suppliers, contractors, partners, consultants, and employees. They are expected to behave and perform their duties and activities in a manner consistent with the Company’s Code of Conduct, Corporate Policies and all applicable laws and regulations.

In addressing concerns, employees have many options available to them and are expected, for routine issues, to manage through normal communication channels including speaking to their leader, executive member, Human Resources, or compliance officer in Colombia. Additionally, all stakeholders, including employees, are invited to elevate any concern to an Executive or submit it through EthicsPoint. Parex’s EthicsPoint Hotline is a tool that is available to share concerns related to our operations, business practices and/ or Code of Conduct which could jeopardize compliance with regulations related to the prevention of corruption, money laundering, financing of terrorism and matters related to the possible violation of Human Rights.

Investigation Process

The Company has a Whistleblower hotline available, EthicsPoint, to provide an anonymous and confidential method for the submission of reports. Reports can be made on the EthicsPoint system seven days a week, 24 hours a day, in either English or Spanish.

Following receipt of a complaint, EthicsPoint provides notification to select Board members and executives. When a report is received, an investigation will commence using internal and/or external resources, as required. Upon the conclusion and/or resolution of an investigation, the Whistleblower is updated through a confidential key. All reports will be handled promptly and discreetly.

NOTE: By submitting the report, you are consenting to allow the contents of the report to be shared with an appropriate investigation team to conduct a thorough investigation.

After you complete your report, you will be assigned a unique code called a "report key." Write down your report key and password and keep them in a safe place. After 5-6 business days, use your report key and password to check your report for feedback or questions.

Activities that should be reported (including perceived or actual)

All directors, officers, suppliers, contractors, clients, and employees are required to promptly report:

  • Violations of the Company’s policies including, but not limited to:
    • Code of Conduct;
    • Corporate Occupational Health & Safety Policies;
    • Anti-Bribery and Anti-Corruption Policy;
    • Human Rights Policy;
  • Concerns regarding the Company’s accounting, internal accounting controls or auditing matters;
  • Violations of any laws or regulations in the jurisdictions in which the Company operates;
  • Violations of the Company’s Disclosure, Confidentiality, Insider Trading & Blackout Period Policy;
  • Any act of reprisal or retaliation against any person who has in good faith reported a possible violation or who in any way assists in an investigation pursuant to this Policy; and,
  • Any other concerns regarding the manner in which the Company operates.
