We have selected EthicsPoint to provide us with an anonymous and confidential Helpline for reporting conduct that may be unethical, illegal, in violation of professional standards, or otherwise inconsistent with Active Network's Code of Conduct. All employees and directors have a duty to report any known or suspected violation of this Code, including violations of the laws, rules, regulations or policies that apply to the Company. If you know of or suspect a violation of this Code, immediately report the conduct to your manager or the Company's SVP human resources or general counsel. The Company's SVP of human resources and/or general counsel will work with you and your manager or other appropriate persons to investigate your concern.

You may also report known or suspected violations of the Code on the Ethics Helpline that is available 24 hours a day, 7 days a week at 1-866-829-2862. In most cases, the Helpline should be used to report unethical or illegal accounting, auditing and other financial matters. You may remain anonymous and will not be required to reveal your identity in calls to the Ethics Helpline, although providing your identity may assist the Company in investigating your concern. All reports of violations or suspected violations of the law or this Code will be handled sensitively and with discretion. The Company will protect your confidentiality to the extent possible, consistent with the law and the Company's need to investigate your concern.

After you complete your report you will be assigned a unique code called a "report key." Write down your report key and password and keep them in a safe place. After 5-6 business days, use your report key and password to check your report for feedback or questions.
