Follow-up on a Report II-VI Incorporated Code of Business Conduct and Ethics

Our Code of Business Conduct and Ethics provides policies and guidelines for our employees and business partners to follow. Working together, we must meet the highest standards of business excellence that our customers, stockholders and employees expect from us.

Our corporate values and policies are designed to prevent the occurrence of unethical or unlawful behavior. However, it is not possible for the Company to detect all misconduct that may occur. As a result, any employee who becomes aware of any existing or potential violation is required to notify the Company promptly. Failure to do so is itself a violation of the Code of Business Conduct and Ethics.

To facilitate reporting of potential concerns, II-VI has retained EthicsPoint as an independent, third-party supplier to provide the II-VI Compliance Hotline - a confidential and anonymous communication channel for reporting potential breaches under the Code, fraudulent business activity or any other concerns without fear that any action will be taken against the employee. While the II-VI Compliance Hotline is a critical component of our business conduct and ethics program, it is not intended to replace or supersede normal managerial or Human Resources communications channels.

To File a Report with the II-VI Compliance Hotline

You can submit a report either over the Internet or by telephone.

  • To submit a report over the Internet, start by selecting the country in which you are located on the right side of this page and then follow the instructions.
  • To submit a report by telephone, you can do any of the following:
    • Call 866-829-3062 toll-free if you are located in the United States.
    • If you are located outside the United States, on the right side of this page, choose the country in which you are located for specific dialing instructions.

After you complete your report you will be asked to choose a password and assigned a unique code called a "report key.” Write down your report key and password and keep them in a safe place. You can use your report key and password to check your report for feedback or questions. Please allow five business days for an initial response.

If you are located in Belgium, Germany, Italy, Switzerland or United Kingdom, local privacy laws limit reporting using the II-VI Compliance Hotline to concerns related to finance, auditing, accounting, banking and anti-bribery matters. If you have any human resources or other concerns, please contact your local HR department, local General Manager or Corporate HR Director.

The II-VI Audit Committee will direct the investigation of all reports, including those made anonymously, and provide feedback when appropriate. There will be no reprisals against those who report suspected violations in good faith, and their identity will be protected to the extent consistent with law and II-VI policy.
