About Barrick’s Compliance Hotline

What is Barrick’s Compliance Hotline?

The Compliance Hotline is a confidential reporting service operated by EthicsPoint, an outside service provider, and is available to all employees as well as Barrick’s contractors and suppliers to report concerns relating to the Code of Business Conduct and Ethics and related policies. The Compliance Hotline can be accessed by telephone or via Internet portal.

Why do we need the Compliance Hotline?

  • If you prefer to report a suspected violation of the Code of Conduct anonymously, or if any of the persons to whom you have reported a concern about a Code of Conduct violation has not, in your view, responded appropriately, you can report your concern through the Compliance Hotline.
  • We believe that our employees are our most important asset. By creating open channels of communication, we can promote a positive work environment and maximize productivity.
  • Publicly traded companies are required by law to have an anonymous reporting vehicle to address accounting and auditing fraud directly to the audit committee.
  • An effective reporting system will support our other efforts to foster a culture of integrity and ethical decision-making.

Reporting – General

May I report using either the Internet or the telephone?

Yes. The Compliance Hotline allows you to to file a confidential report via either the telephone or the Internet. You may remain anonymous if you wish.

What type of situations should I report?

The Compliance Hotline is designed for employees, contractors and suppliers to report any violation of our Code of Conduct or related policies or other concern you may have.

If I see a violation, shouldn't I just report it to my manager, security, or human resources and let them deal with it?

When you observe some behavior that you believe violates our Code of Conduct, we expect you to report it. As a general guideline, if you suspect a possible violation of a law or the Code of Conduct, you should address the matter promptly with local management. Reporting concerns to local management is often the most effective way to promote an open and positive work environment. We recognize, however, that there may be circumstances when you are not comfortable reporting a concern in this manner. It is for such circumstances that we have established the Compliance Hotline. We would rather you report anonymously than keep the information to yourself.

Why should I report what I know? What’s in it for me?

We all have the right to work in a positive environment and with that right comes the responsibility of acting in an ethical manner and letting the appropriate people know if someone is not acting appropriately. By working together, we can maintain a healthy and productive environment. Corporate misconduct can threaten the livelihood of an entire company.

Does management really want me to report?

We certainly do. In fact, we need you to report. You know what is going on in our company - both good and bad. You may have initial knowledge of an activity that may be cause for concern. Your reporting can minimize the potential negative impact on the company and our people. Also, offering positive input may help identify issues that can improve corporate culture and performance. Barrick personnel are expected to take all responsible steps to prevent a violation of the Code of Conduct, to identify and raise potential issues before they lead to problems, and to seek additional guidance when necessary.

Where do these reports go? Who can access them?

Reports are entered directly on the EthicsPoint secure server to prevent any possible breach in security. EthicsPoint makes these reports available only to specific individuals within the company who are charged with evaluating the report, based on the type of violation and location of the incident.

Isn’t the Compliance Hotline just an example of someone watching over me?

The Compliance Hotline is a positive aspect of our overall philosophy of honesty, integrity and the highest ethical standards, and allows us to assure a safe, secure, and ethical workplace. You are encouraged to seek guidance on ethical dilemmas, provide positive suggestions, or communicate a concern.

Reporting Security and Confidentiality

It is my understanding that any report I send from a company computer generates a server log that shows every web-site that my PC connects with, and won’t this log identify me as a report originator?

EthicsPoint does not generate or maintain any internal connection logs with IP addresses, so no information linking your PC to EthicsPoint is available. In fact, EthicsPoint is contractually committed not to pursue a reporter’s identity.

If you feel uncomfortable making a report on your work PC, you have the option of using a PC outside our work environment (such as one located at an Internet café, at a friend’s house, etc.) through the EthicsPoint secure website. Many people choose this option, as EthicsPoint’s data shows that fewer than 12% of reports are generated during business hours.

Can I file a report from home and still remain anonymous?

A report from home, a neighbor’s computer, or any Internet portal will remain secure and anonymous. An Internet portal never identifies a visitor by screen name and the EthicsPoint system strips away Internet addresses so that anonymity is totally maintained. Plus, EthicsPoint is contractually committed not to pursue a reporter’s identity.

I am concerned that the information I provide the Compliance Hotline will ultimately reveal my identity. How can you assure me that will not happen?

The Compliance Hotline is designed to protect your anonymity. However, if you wish to remain anonymous, you - as a reporting party - need to ensure that the body of the report does not reveal your identity by accident. For example, “From my cubicle next to Jan Smith…” or “In my 33 years…”.

Is the telephone toll-free hot line confidential and anonymous too?

Yes. You will be asked to provide the same information that you would provide in an Internet-based report and an interviewer will type your responses into the Compliance Hotline Internet portal. These reports have the same security and confidentiality measures applied to them during delivery.

What if I want to be identified with my report?

There is a section in the report for identifying yourself, if you wish.

I’m worried that my boss will be angry or upset if I report my concern.

We encourage and expect you to raise possible ethical issues and will not tolerate retaliatory action against any individual for raising concerns or questions regarding ethics matters or for reporting suspected Code of Conduct violations in good faith.

I’m concerned about the confidentiality of my report.

Barrick will make every reasonable effort to ensure the confidentiality of concerns about suspected Code of Conduct violations, any related investigations and the identity of those providing information, to the extent consistent with the need to conduct an appropriate, fair and thorough investigation

Tips and Best Practices

I am aware of some individuals involved with unethical conduct, but it doesn't affect me. Why should I bother reporting it?

Barrick’s success is built on a foundation of personal and professional integrity and commitment to excellence. All unethical conduct, at any level, ultimately hurts the company and all employees, including you. You only have to consider what happened in recent corporate scandals to see the disastrous effects that a seemingly harmless lapse in ethics can have on an otherwise healthy company. So if you know of any incidents of misconduct or ethical violations, please consider it your duty to yourself and your coworkers to report it.

I am not sure if what I have observed or heard is a violation of company policy, or involves unethical conduct, but it just does not look right to me. What should I do?

File a report. We'd rather you report a situation that turns out to be harmless than let possible unethical behavior go unchecked because you weren't sure.

What if my boss or other managers are involved in a violation? Won’t they get the report and start a cover-up?

The Compliance Hotline and report distribution are designed so that implicated parties are not notified or granted access to reports in which they have been named.

What if I remember something important about the incident after I file the report? Or what if the company has further questions for me concerning my report?

When you file a report through the Compliance Hotline by phone or via the Internet portal, you receive a unique user name and are asked to choose a password. You can return to the Compliance Hotline again either by Internet or telephone and access the original report to add more detail or answer questions posed by a Barrick representative and add further information that will help resolve open issues. We strongly suggest that you return to the site in the time specified to answer company questions.

Are these follow-ups on reports as secure as the first one?

All Compliance Hotline correspondences are held in the same strict confidence as the initial report, continuing under the umbrella of anonymity.

Can I still file a report if I don’t have access to the Internet?

You can file an Compliance Hotline report from any computer that can access the Internet. You can file from home. Many public locations, including the public library, have Internet computers. If you don’t have access to or are uncomfortable using a computer, you can contact the Compliance Hotline by telephone as set out below:

Barrick’s Compliance Hotline telephone service is available 24 hours a day, 365 days a year. Operators are available who speak English and Spanish. You may also request a translator if you wish to speak to the operator in a different language.

In Canada and the United States

If you are in Canada or the United States, you can reach the Compliance Hotline toll-free by calling 877-246-5399, or by making a collect call to 503-444-4908.

Outside Canada and the United States

Depending on your location outside Canada and the United States, you can reach the Compliance Hotline in various ways:

  • Collect calling (as explained below in Section A)
  • AT&T toll-free calling (as explained below in Section B); or
  • Dedicated local number (as explained below in Section C)

(A) Collect Calling: Make a collect call as follows:

  • Step 1: Contact your local telephone operator and say you want to place a call to the United States and reverse the charges.
  • Step 2: Give the operator the phone number: 503-444-4908.
  • Step 3: You will be connected to the Barrick Compliance Hotline.

(B) Toll-Free Calling: In certain countries, you can reach the Compliance Hotline via AT&T Direct as follows:

  • Step 1: Make sure you have an outside line (if you are using a public phone, make sure it can be used to make international calls).

Acacia Mining plc has a dedicated Compliance Hotline for its employees. The hotline is operated by an outside service provider, and is available to all Acacia employees 24 hours a day, 365 days a year. You may remain anonymous if you wish. The access numbers for the Acacia Compliance Hotline are available on the Acacia Intranet and attached to the Acacia Code of Business Conduct and Ethics.

Employees of Barrick (Niugini) Ltd. (Porgera Joint Venture)

Barrick (Niugini) Ltd. currently uses Barrick’s Compliance Hotline for its employees. There are three ways to reach the Compliance Hotline via telephone:

Employees of Ma’aden Barrick Copper Company (Jabal Sayid Joint Venture)

Ma’aden Barrick Copper Company currently uses Barrick’s Compliance Hotline for employees of the Jabal Sayid Joint Venture. There is a dedicated local number available to reach the Compliance Hotline via telephone from onsite:

3. Interpretation Service

If you do not speak English, or prefer to have an interpreter assist you in speaking with the EthicsPoint representative, please immediately inform the EthicsPoint representative which language you speak. The representative will then begin conferencing in an interpreter if one is available. As this happens, you will hear music, please remain on the line. You will then hear a recorded message in your language to confirm that an interpreter will come on line shortly. An interpreter will then join your conversation to assist you and the representative in completing the call.
