It clearly defines the Company's expectations for legal and ethical behavior on the part of every employee. Pyxus' directors, officers, employees and agents are expected to conduct the Company's business according to the highest standards of professional ethics, financial integrity and legality. Pyxus is committed to an environment where open, honest communications are the expectation, not the exception. We want you to feel comfortable in approaching your supervisor or management in instances where you believe violations of policies or standards have occurred.

In situations where you prefer to place an anonymous report in confidence, you are encouraged to use this Pyxus Compliance Helpline, hosted by a third-party helpline provider, NAVEX, through its reporting tool EthicsPoint. You are encouraged to submit reports relating to violations stated in our Code of Business Conduct, as well as asking for guidance related to policies and procedures and providing positive suggestions and stories.

The information you provide will be sent to us by EthicsPoint on a totally confidential and anonymous basis if you should choose. You have our assurance that your comments will be heard.

Pyxus wants you to know that, as long as you are acting in good faith, you may raise any question or voice any concern about any legal or ethical issue without fear that you will be discredited or that you will jeopardize your job. “Good faith” does not mean that you need to be right – but it does mean that you should be telling the truth as you understand it. It is a violation of the Code of Business Conduct for any director, officer, employee, or agent to retaliate against or take other adverse actions against those who report a violation of the Code of Business Conduct in good faith.
