What is the Zoetis Safe to Say Helpline?

The Zoetis Safe to Say Helpline is a channel for colleagues, contingent workers, and third parties to raise concerns regarding potential or actual violations of law, regulation, and/or Zoetis policy. The Zoetis Helpline is available 24 hours a day, seven days a week, with the option to submit reports by phone, online, or mobile. The Corporate Compliance and Employee Relations Teams are then responsible for ensuring that Zoetis investigates and appropriately resolves your concerns.

What is Ethicspoint?

Ethicspoint is the system managed by a third party, NAVEX, and also known as the Zoetis Safe to Say Helpline. It’s a comprehensive and confidential reporting tool where Zoetis colleagues, contingent workers, and third parties can raise concerns about potential violations of law, regulation, improper conduct and/or Zoetis policy. The Corporate Compliance and Employee Relations Teams are then responsible for ensuring that Zoetis investigates and appropriately resolves your concerns.

Why do we need a system like the Safe to Say Helpline (Ethicspoint)?

The foundation of Safe to Say at Zoetis is openness, accessibility, and the creation of an environment where colleagues feel free to share concerns without fear of retaliation. The Zoetis Safe to Say Helpline offers another avenue for colleagues and third parties to confidentially report potential violations of law, regulation, improper conduct and/or Zoetis policy. The Safe to Say Helpline (Ethicspoint) supports Zoetis’ commitment to protecting those who report concerns through any of the Company’s reporting channels. All reports are taken seriously and investigated thoroughly. Retaliation of any kind is strictly prohibited.

Why is the Zoetis Safe to Say Helpline important?

The Helpline is important because integrity, fairness and accountability are the cornerstone of everything we do. The Zoetis Code of Conduct is our shared commitment to preserve and build upon these values, to maintain exceptional relationships with our customers, shareholders, each other and our communities. It is the basic foundation of what it means to be a Zoetis colleague.

The Helpline provides an easy way for you to get in touch with us right away if you see, hear or suspect that something isn’t right in your interactions with customers, vendors, clients or another colleague. In reporting concerns, please be assured that Zoetis has a zero tolerance policy for any form of retaliation, and you may choose to remain anonymous in most cases (unless otherwise required by law in your location).

If I raise a concern, should I be worried about retaliation?

No. At Zoetis, it is “Safe to Say” because retaliation is strictly prohibited and we stand firm behind this commitment. There is zero tolerance for any form of retribution against colleagues who raise good faith concerns about actual or potential violations. Any colleague who commits a retaliatory act is subject to disciplinary action up to and including termination.

If I raise a conduct concern, will my manager, teammates and other employees find out?

When you share a concern with us, we are committed to handling the matter discreetly. We will only involve those absolutely necessary to review and/or remediate the matter. In some instances, you may choose to remain anonymous when reporting a concern, however, you should keep in mind that you cannot be retaliated against for contacting us in good faith to share a concern.

How do I raise a concern through the Zoetis Safe to Say Helpline?

You can raise a concern by phone, online or with your mobile device. When filing your report, please provide as much detail as possible – i.e., who, what, when, where, why, how – so that we can look into your concerns.

Can I remain anonymous?

In most cases you have the ability to file a confidential, anonymous report, although local legal requirements may limit the ability of Zoetis to offer anonymous reporting through the Helpline in certain locations. If you choose to remain anonymous, please provide as much detailed information as possible so a thorough review of the concern can take place. Please also be sure to save your report key, set up a confidential password, and periodically check in on the status of your report.

What are some examples of the types of conduct concerns I should report?

All actual or potential violations of law, regulation, and/or Zoetis policy or improper conduct should be reported. Examples of conduct that should be reported include:

  • Improper payments to government officials or commercial entities generally;
  • Falsification of expense or other financial documentation by colleagues, distributors, re-sellers or other sales channel partners;
  • Conflicts of interest or kickbacks;
  • Financial irregularities or impropriety;
  • Theft, fraud, misappropriation;
  • Regulatory or quality issues;
  • Improper payments for product registration or customs clearance;
  • Violations of US export regulations and sanctions/embargoes;
  • Books and records abuses (false entries in the Company’s financial records);
  • Research/clinical study abuses (especially concerning data submitted to regulators);
  • Matters involving one or more high level managers as the subject;
  • Manufacturing abuses;
  • Retaliation;
  • Items that may have significant media implications;
  • Discrimination or Harassment in the Workplace including Sexual Harassment and Hostile Work Environment;
  • Any other conduct that could be a potential or actual violation of law, regulation, and/or Zoetis policy.

When in doubt, it is best to raise your concern.

What are the channels I can use to report a compliance or employee relations issue?

Zoetis offers a number of channels to report potential concerns, including: (1) a direct manager, supervisor, or a member of the local leadership team; (2) Compliance, Human Resources, Legal, Internal Audit, or Finance; (3) the Zoetis Safe to Say Helpline; (4) the Compliance email box (compliance@zoetis.com); (5) The Employee Relations email box (employeerelations@zoetis.com) or (6) any senior leader or Zoetis board member.

Do I have to report a Zoetis Policy violation?

Yes. Zoetis considers all colleagues to be essential for maintaining an effective compliance program. In addition to your personal responsibility for following the standards described in our Code of Conduct, you are responsible for raising concerns about risks to the Company — ideally, before they become actual problems. If you believe that a violation of a law, regulation, and/or Zoetis policy has or is about to occur, you must report it immediately through one of the available reporting channels. When in doubt, it is best to raise your concern. By raising concerns, you allow management the opportunity to address and resolve potential problems.

How does my report help Zoetis?

By reporting potential violations, you (1) help protect Zoetis’ reputation as a company; (2) prevent the problem from getting any worse; and (3) promote our Core Beliefs, including to “Always Do the Right Thing.”

Where do reports go? Who can access them?

When you contact the Zoetis Safe to Say Helpline, the report is entered directly into an independent third-party secure system to prevent any possible breach in security. The report is then made available only to a member of the Corporate Compliance Team and/or Employee Relations Team who is responsible for reviewing and responding to your report within 48-72 hours. Based on the information provided in the report, Compliance and/or the Employee Relations Team will look into your concerns to ensure they are addressed and resolved in accordance with our Core Beliefs and Code of Conduct. In certain circumstances, Compliance and/or the Employee Relations Team may seek assistance from, or delegate authority to, other groups or individuals to investigate your concerns. Throughout this process, however, Compliance and the Employee Relations Team will strive to maintain confidentiality as appropriate and any discussions will be limited to only those individuals with a “need to know.”

Who reviews a report?

Compliance reports are reviewed by a member of the Corporate Compliance Team and Employee Relations reports are reviewed by a member of the Employee Relations Team. Based on the information provided in the report, Compliance and/or the Employee Relations Team will look into your concerns to ensure they are addressed and resolved in accordance with our Core Beliefs and Code of Conduct. In certain circumstances, Compliance and/or the Employee Relations Team may seek assistance from, or delegate authority to, other groups or individuals to investigate your concerns. Throughout this process, however, Compliance and the Employee Relations Team will strive to maintain confidentiality as appropriate and any discussions will be limited to only those individuals with a “need to know.”

If I’m contacted about a report, do I have to answer questions and/or provide information, if I’m asked to do so?

Yes. Every Zoetis colleague and contingent worker has a responsibility to protect the reputation and integrity of Zoetis, including by cooperating fully with any investigation.

What are the possible outcomes after a concern has been thoroughly reviewed?

Depending on the severity of the concern and what the review has revealed, outcomes can range from no action to education and coaching to disciplinary action, up to and including termination. Corrective measures may also include a wide range of non-disciplinary outcomes, such as policy revisions, additional controls, audits, training, etc.

It is my understanding that Zoetis monitors all activity on company computers. Does this mean if I raise a conduct concern from my work computer, I’ll be identified as someone who made a report?

No. All Helpline reports go to a third-party that does not generate or maintain internal records with the source of the referral, including IP addresses and phone numbers, so no information linking your work computer to a report is available.

If you feel uncomfortable making a report on your work computer, you also have the option of using a computer outside our work environment (such as your personal computer or one located at a friend’s house, etc.) or through the mobile connection. It’s not unusual to report a concern after business hours.

Can I raise a concern from home and still choose to remain anonymous?

A report from home, a friend’s computer, or any Internet or mobile portal will remain secure and you have the option to remain anonymous (unless otherwise required by law in your location).

Is the telephone toll-free hotline confidential and anonymous too?

Yes. You will be asked to provide the same information that you would provide in an Internet or mobile-based report and an interviewer will type your responses into the system. These reports have the same security and confidentiality measures applied to them as Internet and mobile reports, and you may choose to remain anonymous (unless otherwise required by law in your location).

If you do file a report via telephone, it is important that you save your report key, set up a confidential password, and periodically check in on the status of your report.

What if I want to be identified with my report?

Most employees that report concerns do identify themselves. This is helpful to gain useful information, identify witnesses and have additional detailed interviews in order to fully review a concern.

I am not sure if what I have observed or heard is a violation of company policy, or involves unethical conduct, but it just does not seem right to me. What should I do?

You should contact any of the following with your concern:
a direct manager, supervisor, or a member of the local leadership team;
Compliance, Human Resources, Legal, Internal Audit, or Finance;
the Zoetis Safe to Say Helpline;
the Compliance email box (compliance@zoetis.com);
the Chief Compliance Officer (jeff.williams@zoetis.com);
the Employee Relations email box (employeerelations@zoetis.com) OR
any senior leader or Zoetis board member.
Doing so will ensure the concern can be properly reviewed. We would rather have colleagues report a situation that turns out to be harmless than let possible inappropriate behavior go unchecked because you weren't sure.

What if I remember something important about the incident after I report my concern? Or what if Compliance or Employee Relations has further questions for me about my report?

When you contact the Helpline you receive a unique user name and are asked to choose a password. You can then return to the Helpline system, access the original report and add more detail and/or answer follow-up questions posed by a member of Compliance or the Employee Relations team. You’ll be provided guidance on timing to return to the system to answer questions.

Are follow-up questions on reports secure?

Yes. All contact is held in the same strict confidence as the initial report, continuing under the umbrella of anonymity if you choose to do so (unless otherwise required by law in your location).
