Frequently Asked Questions about Zebra's Make The Right Call Program

1. What information should be submitted through Zebra's Make The Right Call Program?

    Zebra's Make The Right Call Program has been created to handle actual or suspected illegal or unethical behavior or potential violations of Zebra's Code of Business Conduct. You may report your information about any matter of concern online or through our Make The Right Call phone number, including the following matters:

    1. Financial, accounting and auditing matters:

      • Forging, destroying, altering or creating falsified accounting or business records;

      • Concerns related to accounting, internal accounting controls or auditing matters;

      • Illegal or suspicious practices that could affect the preparation of financial information;

      • Complaints about unconsolidated entities and off-balance transactions that should be considered in financial statements;

      • Misappropriation of company funds, including theft and embezzlement; and

      • Any form of financial fraud by employees or third-parties related to Zebra.

    2. Ethics, Governance and Compliance matters:

      ◊   Ethics and Compliance – unethical or illegal acts related to:

        • Employee relations, including workplace conduct, disciplinary action, discrimination, sexual harassment, and substance abuse; our recruitment and hiring process (any form of discrimination or creation of false expectations); failure to comply with labor laws and regulations; and any form of harassment or retaliation;

        • Customer or supplier relations, including any form of discrimination, false representation regarding availability and/or quality of products, failure to comply with laws or regulations on trade and competition, unfair trade practices and accepting or giving unauthorized or improper gifts, services and other courtesies;

        • Government relations, including failure to comply with laws, regulations, standards and other legal provisions and illegal or improper acts involving our relations with the government as a customer, supplier or promoter;

        • Improper use of assets, including improper or questionable acts involving the operations or cash management activities of Zebra, theft or misappropriation of any asset of Zebra or use of an asset of Zebra for an illegal activity;

        • Antitrust matters and anti-corruption matters, including the Foreign Corrupt Practices Act and United Kingdoms' Anti-Bribery Act;

        • Other acts involving actual or potential conflicts of interest, workplace safety and health, environmental responsibility and improper use of confidential information; and

        • All other matters involving laws and regulations applicable to our business or Zebra policies.

      ◊   Governance:

        • Issues related to the way Zebra is managed or organized; and

        • Matters regarding the organization and functions of the Zebra Board of Directors, Board Committees and/or Senior Management.

2. Who will document my concern?

    NAVEX is an independent reporting service operating in the United States that will document your reported concerns and provide the reported information to either to the Zebra Board of Directors, the Zebra Audit Committee or Zebra's Chief Compliance Officer, as appropriate, for review and resolution.

3. Who in Zebra will manage the case?

    After NAVEX documents your concerns, it will be directed to Zebra’s Chief Compliance Officer for resolution. A review of the matter will be conducted in accordance with Zebra's policies and procedures, and you will be provided with notice of the resolution of the report you submitted if you go into the NAVEX System and view the resolution. The timing of the response will vary depending upon the complexity of the reported matter.

4. What are the Zebra Audit Committee's responsibilities?

    Among other things, the Audit Committee of Zebra's Board of Directors is responsible for authorizing related-party transactions, selecting and hiring Zebra's external auditors and reviewing the critical accounting policies of Zebra. Additionally, the Audit Committee is required to establish procedures for the confidential, anonymous submission by employees of concerns regarding questionable accounting or auditing matters. The Make The Right Call Program is designed to comply with that legal requirement.

5. What are the Zebra Compliance Committee responsibilities?

    Zebra's Audit Committee established the Zebra Corporate Compliance Committee (the "Committee") to oversee, review and manage Zebra's Compliance & Ethics Program (the "Program"). The purpose of the Committee is to lead the organizational design, implementation and oversight of the Program. The purpose of the Program is to promote an organizational culture that encourages a commitment to compliance with applicable laws and regulations and to reduce the likelihood of material violations of federal, state, and foreign jurisdiction laws and regulations. The Program is reasonably designed, implemented, and enforced so that the Program is generally effective in preventing violations of the Code.

6. Will my report be treated anonymously and confidentially?

    Yes, all reports received through the Make The Right Call Program, either via telephone or the web-based portal, will be treated confidentially, and if you so choose, anonymously, when making an anonymous report is permitted by local law. Since additional information about your report may be needed, however, we recommend that you provide an email account (which may be generic). You can create an email address from several free account providers including Hotmail, Yahoo! Mail and Gmail.

7. Is the Make The Right Call Program portal a secure site?

    The Make The Right Call portal uses Secure Socket Layer (SSL) technology, which ensures that all information sent to the website is encrypted and protected against disclosure to third-parties.

8. Can I access the "Make The Right Call Program" portal when not on a Zebra network?

    Yes, you can access the Make The Right Call Program portal through any computer with Internet access at the following secure Web address: www.tnwgrc.com/Zebra.
